These Terms of Service (the "Terms") govern your access to and use of bluehorseshoe.com (the "Site"), which is operated by Blue Horseshoe Capital LLC ("Blue Horseshoe", "we", "us" or "our"). These Terms are effective as of September 2, 2026.

Acceptance of these Terms

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to bind it.

Informational purposes only

The Site and its content (the "Content") are provided for general informational purposes only. The Content describes Blue Horseshoe and its activities in general terms, is not intended to be complete, and should not be relied upon for any purpose without independent verification.

No investment, legal, tax or accounting advice

Nothing on the Site is, or should be construed as, investment, legal, tax or accounting advice, or a recommendation regarding any security, investment strategy, company or transaction. The Content does not take into account the objectives, financial situation or needs of any person. Consult your own financial, legal, tax and accounting advisors before making any investment decision.

Those documents, not the Site, will govern any investment, and you should read them in full, including the risk factors, before investing.

Portfolio information

Portfolio companies are shown on the Site for illustrative purposes only. Portfolio information may be incomplete, may change without notice, is not a complete list of investments, and is not an indication of future performance. Companies may be added, removed or updated at any time, and the selection shown does not represent every investment made or arranged by Blue Horseshoe or its principals or affiliates. The inclusion of a company is not an indication that it has been or will be profitable, and no assurance is given that future investments will be similar in kind or result.

Past performance

Past performance is no guarantee of future results. Investments in private companies are speculative and illiquid and involve a high degree of risk, including the possible loss of the entire amount invested. Forward-looking statements on the Site are based on current beliefs and assumptions and may prove to be wrong.

Third-party names, logos and trademarks

Third-party company names, logos, trademarks and trade names that appear on the Site belong to their respective owners. They are used solely for identification and informational purposes. Their appearance does not imply sponsorship, endorsement or affiliation by those companies, or any endorsement or recommendation by Blue Horseshoe of those companies or their products, services or securities.

Intellectual property

Except for the third-party materials described above, the Site and the Content, including text, graphics, design, photographs, video, logos and code, are owned by or licensed to Blue Horseshoe and are protected by United States and international copyright, trademark and other intellectual property laws. You may view the Site and print or download a reasonable number of pages for personal, non-commercial reference, provided you keep all proprietary notices intact. You may not otherwise copy, republish, distribute, modify, create derivative works from or exploit any Content without our prior written permission. All rights not expressly granted are reserved.

Acceptable use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • attempt to gain unauthorized access to the Site, its servers or any connected network;
  • interfere with or disrupt the Site, including by introducing harmful code or placing an unreasonable load on our infrastructure;
  • use robots, scrapers or other automated means to collect Content, other than search engines honoring our robots instructions;
  • frame or mirror any part of the Site, or use our name or logos without our written permission; or
  • impersonate Blue Horseshoe or any other person, or misrepresent your affiliation with anyone.

We may suspend or terminate your access to the Site if we believe you have violated these Terms.

Third-party links

The Site links to third-party websites, including those of portfolio companies, for your convenience only. Blue Horseshoe does not control and is not responsible for any third-party website, and a link is not an endorsement. Your use of any third-party website is at your own risk and subject to its terms and policies.

Disclaimer of warranties

THE SITE AND THE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BLUE HORSESHOE DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT THE CONTENT IS ACCURATE, COMPLETE OR CURRENT. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BLUE HORSESHOE OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR THE CONTENT, UNDER ANY LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF BLUE HORSESHOE AND THOSE PERSONS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE EXCLUSIONS OR LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend and hold harmless Blue Horseshoe and the persons listed above from and against any claims, losses, liabilities, damages, costs and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms or your misuse of the Site.

Governing law and venue

These Terms, and any dispute arising out of or relating to these Terms or the Site, are governed by the laws of the State of Ohio, without regard to its conflict of laws principles. Any legal action relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to the jurisdiction of those courts.

Changes to these Terms

We may revise these Terms at any time by posting a revised version on the Site and changing the effective date shown at the top of this page. The revised Terms take effect when posted. Your continued use of the Site after a revised version is posted constitutes your acceptance of the revised Terms, so please review this page periodically.

Severability

If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Blue Horseshoe regarding the Site.
